Recently, Shanghai Fangben Law Firm successfully has obtained its securities business filing with the China Securities Regulatory Commission (CSRC). This achievement not only reflects the firm’s continued endeavors and opening-up in the field of securities business line but also marks a new chapter for the newly merged firm in securities-related legal services.

作为合并前方本所的核心力量之一，金春卿律师团队在证券业务领域经验丰富。此次创宇公司证券业务项目是合并前签订的老合同，现顺利转入博爱方本所，成为新所证券业务的重要起点。金律师团队为创宇公司提供了全方位的法律服务，包括法律尽职调查、合规性审查、文件起草、出具法律意见书等，现项目正在稳步推进中。

As one of the core teams of Fangben Law Firm before the merger, Attorney Winston Jin’s team had extensive experience in securities business line. Chuangyu Company securities business project, which was signed under the old contract before the merger, has now smoothly transitioned to post-merger Fangben, becoming a key starting point for the new firm’s securities practice. Attorney Jin’s team provides comprehensive legal services for Chuangyu Company, including legal due diligence, compliance reviews, document drafting, and issuance of legal opinions. The project is currently progressing steadily.

方本所在证券业务领域有着深厚积淀。早在2017年，方本所就为芜湖精益达模塑股份有限公司新三板挂牌提供全程法律服务，成为其最早的新三板项目之一。2002年，方本所（原江苏方本律师事务所）即获得证监会证券从业资格；上海方本律师事务所于2022年1月14日顺利完成证券业务备案。此外，金律师及其团队近日正在竭尽全力积极开拓、推进赴美上市和赴港上市项目。

Fangben Law Firm has a solid foundation in the securities field. As early as 2017, Fangben provided full legal services for Wuhu Jingyida Molding Co., Ltd.’s listing on the NEEQ, making it one of the firm’s earliest NEEQ projects. In 2002, Fangben Law Firm (formerly Jiangsu Fangben Law Firm) obtained its securities practice qualification from the CSRC, while Shanghai Fangben Law Firm successfully completed its securities business filing on January 14, 2022. Additionally, Attorney Jin and his team have recently been actively exploring and advancing projects related to U.S. and Hong Kong listings.

值得注意的是，老博爱星在证券业务上也积淀颇深：(1)早在2019年3月7日，徐炜律师、沙国伟律师团队就完成了第一个新三板挂牌项目，即常州海恩德新三板挂牌；（2）章祥兵律师团队对于证券诉讼也有着丰富的经验，引得业界瞩目的成就颇多。其中，于2021年2月11日，章律师及团队代理了涉中国银行“原油宝”民事案件在全国范围内第一批开庭审理的3个案件中的一案，该案为最高人民法院发布2020年度全国法院十大商事案例之一；（3）2021年12月底章律师代理的“索菱股份股票索赔案”入选深圳中院证券虚假陈述责任纠纷十大典型案例；和（4）2024年5月，章祥兵律师代理的“投资者杜某诉汇嘉时代证券虚假陈述责任纠纷”案件，入选了法律出版社《2022-2023中国上市公司诉讼蓝皮书》。

It is note-worthy that the former Boai Xing also had significant experience in securities law: (1) As early as Mar 7, 2019, Attorney Xu Wei and Attorney Sha Guowei’s team successfully completed their first NEEQ listing project for Changzhou Haien De; (2) Attorney Zhang Xiangbing’s team has extensive experience in securities litigation, having achieved remarkable results in the industry. On February 11, 2021, Attorney Zhang and his team represented one of the three cases in the first batch of trials nationwide concerning the China Bank "Crude Oil Treasure" civil litigation. This case was selected by the Supreme People's Court as one of the "Top Ten Commercial Cases of 2020;" (3) At the end of December 2021, Attorney Zhang represented the "Suoling Shares Stock Compensation Case," which was selected as one of the Top Ten Typical Cases of Securities Misrepresentation Liability Disputes by the Shenzhen Intermediate People's Court; and (4) In May 2024, Attorney Zhang Xiangbing represented the case of "Investor Du vs. Huijia Times Securities Misrepresentation Liability Dispute," which was included in the "2022-2023 China Listed Company Litigation Blue Book" published by the Law Press China.
